Coos Regional Trails Partnership

Minutes – March 18^th 2008

The following persons were in attendance: Don Luce, Reg Pullen, Bob Golden, Mike Smith.

Currently there are 5 board positions filled – 3 being in attendance represent a quorum.

Current board members:

a. Equestrians (Donna Bishop)

b. Off-highway vehicles (Mike Smith)

c. Mountain bicycles (open)

d. Foot trails (Dave Gray)

e. Water trails (Reg Pullen)

f. Tourism (Don Luce)

g. Federal agencies (BLM, Forest Service) (Bob Golden – non-voting)

h. State agencies (ODF, South Slough NERR) (one representative)

i. County, local government (one representative)

j. Tribes (open)

k. Conservation (open)

l. OCEAN liaison (open)

m. Private lands (open)

n. At-large (open)

Old Business:

Proposal to allow the use of proxies having been introduced to the membership at the previous meeting was brought to a vote and passed. Don Luce will make an updated version of the bylaws.

Election of Officers:

Don Luce was elected President.

Dave Gray was elected Treasurer in absentia (pending his acceptance).

Donna Bishop was elected Secretary in absentia (pending her acceptance).

New Business:

We discussed making changes to the bylaws to streamline decision making.

Don Luce proposed that we eliminate the executive committee and give the board whatever powers the executive committee had been provided in the bylaws. Remove Article 7 and remove or replace the “executive committee” with “Board” wherever mentioned in the bylaws. Officers would continue to be elected by the general membership from board and fulfill their basic duties of chairing the meeting, taking notes and accounting for any funds. The At-Large member of the executive committee having no other function outside of the executive committee would be eliminated.

Revisions of the bylaws both by individual amendment or complete revision is provided for in the bylaws
